Agreement for use of Spraxisfox language learning services

1. Acceptance of Terms
Welcome to Spraxisfox Language Institute. These Terms of Service ("Terms") govern your use of our website, services, and educational programs. By accessing our website or enrolling in our courses, you agree to be bound by these Terms and our Privacy Policy.
If you do not agree to these Terms, please do not use our services.
2. Description of Services
Spraxisfox provides language learning services including:
- Individual language lessons
- Group language classes
- Online language courses
- Conversation practice sessions
- Corporate language training
- Exam preparation courses
- Educational resources and materials
We reserve the right to modify, suspend, or discontinue any aspect of our services at any time with appropriate notice.
3. Enrollment and Registration
3.1 Eligibility
You must be at least 16 years old to enroll independently. Students under 18 require parental consent. We welcome learners of all backgrounds and skill levels.
3.2 Registration Process
To enroll, you must:
- Provide accurate and complete registration information
- Complete a placement assessment (if required)
- Pay applicable fees according to our payment terms
- Agree to these Terms of Service
3.3 Account Security
You are responsible for maintaining the confidentiality of your account information and for all activities under your account.
4. Payment and Pricing
4.1 Fees
Current pricing is available on our services page. All prices are in Canadian dollars and subject to applicable taxes.
4.2 Payment Terms
- Individual lessons: Payment required before each session or in prepaid packages
- Group classes: Payment due before course commencement
- Corporate training: As per separate agreement
4.3 Late Payments
Late payments may result in suspension of services. A late fee of $25 may apply to overdue accounts.
4.4 Price Changes
We reserve the right to change our prices with 30 days' notice. Current students will maintain their agreed rates for the duration of their enrolled program.
5. Cancellation and Refund Policy
5.1 Individual Lessons
- 24+ hours notice: Full refund or reschedule
- Less than 24 hours: 50% charge applies
- No-show: Full lesson fee charged
- Emergency situations: Considered case-by-case
5.2 Group Classes
- Before course starts: Full refund minus $50 administrative fee
- Within first week: 75% refund
- After first week: Prorated refund for remaining classes
- After 25% completion: No refund available
5.3 Online Courses
Digital content sales are final. Access revoked upon cancellation request.
6. Student Responsibilities
As a Spraxisfox student, you agree to:
- Attendance: Attend scheduled classes punctually
- Preparation: Complete assigned homework and practice
- Respect: Treat instructors and fellow students with courtesy
- Participation: Engage actively in learning activities
- Technology: Ensure reliable internet for online classes
- Materials: Use provided materials for personal learning only
7. Instructor Rights and Responsibilities
Our instructors reserve the right to:
- Modify lesson plans to suit student needs
- Request student removal for disruptive behavior
- Cancel classes due to illness or emergency
- Provide constructive feedback and assessments
8. Intellectual Property
8.1 Our Content
All course materials, curricula, teaching methods, and website content are proprietary to Spraxisfox and protected by copyright. Students may use materials solely for personal learning.
8.2 Prohibited Uses
You may not:
- Reproduce or distribute our materials
- Record classes without explicit permission
- Share login credentials with others
- Use our content for commercial purposes
8.3 Student Content
Students retain ownership of their original work while granting us license to use it for educational feedback and improvement purposes.
9. Privacy and Data Protection
Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which forms part of these Terms. By using our services, you consent to our data practices as described in the Privacy Policy.
10. Code of Conduct
We maintain a respectful learning environment. Prohibited behavior includes:
- Harassment, discrimination, or offensive language
- Disruption of classes or learning activities
- Sharing inappropriate content
- Academic dishonesty or cheating
- Violation of other students' or instructors' rights
Violation may result in warnings, suspension, or termination of services without refund.
11. Technology Requirements and Support
11.1 Technical Requirements
For online classes, you need:
- Stable internet connection (minimum 5 Mbps)
- Computer, tablet, or smartphone with camera and microphone
- Updated web browser or required software
- Quiet learning environment
11.2 Technical Support
We provide basic technical support during business hours. Students are responsible for their own hardware and internet connectivity.
12. Limitation of Liability
To the maximum extent permitted by law:
- Our total liability shall not exceed the amount paid for services
- We are not liable for indirect, incidental, or consequential damages
- We do not guarantee specific learning outcomes or timeframes
- We are not responsible for third-party content or services
Some jurisdictions do not allow these limitations, so they may not apply to you.
13. Force Majeure
We are not liable for delays or failures due to circumstances beyond our control, including:
- Natural disasters or extreme weather
- Government actions or public health emergencies
- Technical failures or cyber attacks
- Labor disputes or supplier issues
In such cases, we will make reasonable efforts to resume services and may offer makeup classes or credits.
14. Dispute Resolution
14.1 Informal Resolution
We encourage resolving disputes through direct communication with our student services team.
14.2 Mediation
If informal resolution fails, disputes may be submitted to mediation through a recognized mediation service in Toronto, Ontario.
14.3 Governing Law
These Terms are governed by the laws of Ontario, Canada. Any legal proceedings must be conducted in Toronto, Ontario.
15. Changes to Terms
We may update these Terms to reflect changes in our services or legal requirements. When we make significant changes, we will:
- Post the updated Terms on our website
- Send email notification to registered students
- Provide 30 days notice before changes take effect
Continued use of our services after changes indicates acceptance of the new Terms.
16. Termination
16.1 By You
You may terminate your enrollment according to our cancellation policy outlined in Section 5.
16.2 By Us
We may terminate your enrollment for:
- Violation of these Terms or our Code of Conduct
- Non-payment of fees
- Fraudulent or illegal activity
- Disruption of services or other students' learning
16.3 Effect of Termination
Upon termination, your access to services ends immediately. Refunds are processed according to our refund policy.
